1. Binding Agreement & Acceptance
By accessing this website, registering an institutional account, or placing an order for any chemical compound, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms of Service, along with our Research Use Agreement, Privacy Policy, and Cold-Chain Shipping Policy.
2. Purchaser Eligibility & Age Verification
Purchases from Club Pep are strictly restricted. By placing an order, you represent, warrant, and certify under penalty of law that:
- You are at least twenty-one (21) years of age and have the full legal capacity to enter into binding commercial contracts.
- You are an authorized representative of a legitimate academic institution, university department, biotechnology enterprise, contract research organization (CRO), diagnostic facility, or independent laboratory.
- You possess the required technical expertise, training, laboratory safety equipment, and storage infrastructure to safely handle, store, and dispose of biochemical reagents.
3. Chemical Reference Standards & Quality Tolerances
All peptide compounds supplied by Club Pep are manufactured under strict analytical synthesis protocols and subject to independent third-party analytical verification:
- Analytical Purity: Released compounds are certified to achieve ≥ 99.00% purity as determined by Reversed-Phase High-Performance Liquid Chromatography (RP-HPLC) at UV 214nm.
- Molecular Identity: Batch identity is verified against theoretical molecular weight via Electrospray Ionization Mass Spectrometry (ESI-MS).
- Certificates of Analysis (COAs): Lot-specific COAs travel with each shipment and remain accessible in perpetuity through our online batch verification portal. Minor variation in net peptide content (lyophilised solid weight vs. counter-ion salt weight) is normal and documented on the corresponding COA.
4. Prohibition of Unlawful Use & Resale Restrictions
The purchaser explicitly covenants and agrees that materials acquired from Club Pep:
- Will NOT be repackaged, adulterated, misbranded, relabeled, or resold for non-laboratory purposes.
- Will NOT be administered to humans or animals under any circumstances, whether by injection, ingestion, inhalation, topical application, or mucosal contact.
- Will NOT be exported in violation of United States export regulations (including EAR and ITAR restrictions where applicable).
- Will be stored, handled, and neutralized in strict adherence to OSHA, EPA, and applicable municipal hazardous chemical containment guidelines.
5. Order Processing, Pricing & Cancellation Rights
All prices displayed are in United States Dollars (USD) and exclude shipping fees, duties, and applicable sales taxes unless expressly indicated:
- Right of Refusal: Club Pep reserves the unilateral right to cancel, hold, or refuse any order where we suspect an intent for non-research use, residential delivery without verified institutional affiliation, or regulatory non-compliance.
- Payment Terms: Orders must be paid in full prior to dispatch unless prior Net-30 credit terms have been formally executed with an authorized university or corporate procurement office.
- Address Verification: We reserve the right to require an institutional purchase order (PO) or business license verification prior to releasing shipments.
6. Disclaimer of Warranties
Except as expressly set forth on the batch-specific Certificate of Analysis regarding HPLC purity and mass spectrometry identity at time of packaging, all products and services are provided on an “AS IS” and “AS AVAILABLE” basis. Club Pep disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular experimental purpose, non-infringement, or patent validity.
7. Limitation of Liability & Indemnification
In no event shall Club Pep Analytical Reagents LLC, its officers, directors, chemical scientists, employees, or affiliates be liable for any direct, indirect, incidental, special, exemplary, consequential, or punitive damages arising from the storage, handling, reconstitution, or experimental use of any chemical materials. The purchaser assumes all risks associated with chemical reagents and agrees to indemnify, defend, and hold harmless Club Pep against all claims, liabilities, lawsuits, losses, or legal expenses resulting from breach of these Terms.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in Middlesex County or Boston, Massachusetts.
